WBSP Terms of Service
Version: 1.0
Effective date: 13 July 2026
Operator: Tooltwist Pte Ltd ("Tooltwist")
Platform: The World's Biggest Software Project ("WBSP"), including the website at wbsp.ai, the git service at git.wbsp.ai, the container registry at registry.wbsp.ai, and any related deployment, runtime, hosting, catalog, store, directory, and collaboration services.
You must read and accept these Terms before you use WBSP. By creating an account, signing in, cloning or pushing a repository, pushing or pulling a container image, deploying or running software, listing yourself in a directory, or otherwise using any part of the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
Note on this document. This is a plain-language and formal Terms of Service prepared for the WBSP platform. It is drafted to be comprehensive, but it is not a substitute for advice from a qualified lawyer licensed in the relevant jurisdiction. Tooltwist should have this document reviewed by legal counsel before it is relied upon in production.
Part A — In plain English
This section is a friendly summary to help you understand the deal. It is written to match the formal terms in Part B. If the two ever seem to disagree, Part B governs.
-
Almost everything here is made by AI, and may or may not be correct. The projects, the deployment platform, and even this website itself are, to a very large extent, created by artificial intelligence. AI can be wrong, incomplete, out of date, or subtly broken. Treat everything on WBSP as unverified unless we say otherwise in writing.
-
You probably don't know the people who made these projects — or how good they are. Projects are created by other users, sometimes using AI and sometimes by hand. We do not vet, verify, background-check, or guarantee the identity, skills, honesty, or ability of the people or organisations on the Platform. Trust ladders, references, and directory badges are computed from platform activity — they are signals, not endorsements from us.
-
The software may or may not do what you expect, or what you need. A project might not have the functionality you assume, might not work in your environment, might contain bugs or security flaws, or might simply not fit your purpose. There are no promises about what any project can do.
-
Tooltwist does not vouch for the platform or the software on it. Except where we say something specific and in writing, Tooltwist neither vouches for, asserts, warrants, nor guarantees the quality, accuracy, security, legality, or fitness of the Platform or any software it contains. Everything is provided "as is."
-
You are 100% responsible for deciding whether anything here is suitable for you. Before you rely on, deploy, distribute, or build on any project or any part of the Platform, it is entirely your job to evaluate it, test it, and confirm it is safe and suitable for your purposes. Your use is at your own risk.
-
If you make a deal with another user, that deal is yours — not ours. If you enter into any agreement, licence, contract, or other arrangement with another user, collaborator, organisation, or any third party you find through the Platform, Tooltwist is not a party to that arrangement. We are the venue, not the counterparty. Any dispute is between you and them.
-
If Tooltwist receives money, it is a fee for using the platform — not payment for software. Any payment Tooltwist receives in connection with WBSP is a fee for access to, or services on, the Platform. It is not a purchase price, licence fee, rent, or lease for any software on the Platform. Tooltwist does not sell or licence the software that others publish here.
A few more plain things worth knowing:
- You are responsible for what you upload and run. Source code, container images, documentation, and anything else you push, publish, deploy, or run is your responsibility — including making sure you have the right to use it and that it isn't malicious, infringing, or illegal.
- We don't promise the Platform is secure, backed up, or always available. Keep your own backups. Don't put anything here you can't afford to lose or leak.
- We can remove or suspend things. We can suspend accounts, listings, projects, repositories, or images — and remove content — if we believe they break these Terms, are harmful, or expose us or others to risk.
- You must obey the law. That includes export controls, sanctions, and the rules that apply to any software you upload, download, deploy, or share.
Part B — Formal Terms of Service
1. Definitions
In these Terms, unless the context requires otherwise:
1.1 "Tooltwist", "we", "us", and "our" mean Tooltwist Pte Ltd, the operator of the Platform.
1.2 "Platform" or "WBSP" means the World's Biggest Software Project and all services, websites, APIs, gateways, git repositories, container registries, catalogs, stores, directories, deployment and runtime services, and other facilities operated by Tooltwist under or in connection with the wbsp.ai domains, including without limitation wbsp.ai, git.wbsp.ai, and registry.wbsp.ai.
1.3 "You", "your", and "User" mean any person or entity that accesses or uses the Platform, whether as a developer, distributor, supporter, user, organisation member, visitor, or in any other capacity.
1.4 "User Content" means anything you or any other User submits to, stores on, publishes through, pushes to, or generates on the Platform, including source code, git repositories, commits, branches, container and other images, documentation, marketing and sales collateral, project and variant metadata, descriptions, thumbnails, screenshots, demo material, directory listings, references, testimonials, messages, reviews, ratings, and any other data or materials — whether authored by a human, generated by artificial intelligence, or a combination of both.
1.5 "Project" and "Variant" mean, respectively, a catalogued software project on the Platform and a specific version or edition of that project, as those terms are used on the Platform.
1.6 "Software" means any software made available on, through, or by means of the Platform, including source code, container images, deployable artefacts, and running instances, in each case whether published by you, by another User, by an Organisation, by an AI system, or by Tooltwist.
1.7 "Runtime Services" means any facility of the Platform that stores, builds, hosts, deploys, executes, previews, or otherwise runs Software or User Content, including container hosting, deployment tooling, and preview or trial runtimes.
1.8 "Collaborator", "Organisation", "Directory Listing", "Reference", "Trust Level", and similar terms have the meanings given to them on the Platform and in its documentation.
1.9 "Third-Party Materials" means software, services, content, or materials owned or provided by anyone other than Tooltwist, including User Content, and services such as underlying git servers, cloud providers, and container stores.
2. Acceptance of these Terms; Eligibility
2.1 Acceptance. These Terms form a binding agreement between you and Tooltwist. You accept them by clicking or otherwise indicating acceptance, and in any event by accessing or using any part of the Platform. If you accept on behalf of an organisation, you represent that you are authorised to bind that organisation, and "you" includes that organisation.
2.2 Record of acceptance. Tooltwist may record the fact, version, and time of your acceptance, and may require you to re-accept updated Terms before continuing to use the Platform.
2.3 Eligibility. You must be of legal age to form a binding contract in your jurisdiction and not be barred from using the Platform under any applicable law (including sanctions and export-control laws). You are responsible for ensuring that your use of the Platform is lawful where you are located.
2.4 Accounts and credentials. You are responsible for maintaining the confidentiality of your access credentials and access tokens, and for all activity that occurs under your account or with your tokens. You must notify Tooltwist promptly of any suspected unauthorised use.
3. Nature of the Platform; AI-Generated Content; No Vetting or Endorsement
3.1 A collaboration venue, not a vendor. WBSP is a platform that lets people and organisations catalogue, share, discover, collaborate on, distribute, host, and run Software. Tooltwist provides the venue and the tooling. Except as expressly stated in writing for a specific service, Tooltwist is not the author, publisher, seller, licensor, or supplier of the Software or other User Content on the Platform.
3.2 AI-generated content. You acknowledge that a very large proportion of the content on the Platform — including Projects, Software, documentation, deployment and platform tooling, and portions of the website itself — is created wholly or partly by artificial intelligence. AI-generated content may be inaccurate, incomplete, outdated, non-functional, insecure, or otherwise defective. Tooltwist makes no representation that any content is correct, and you must not assume that any content has been reviewed or verified by a human or by Tooltwist.
3.3 No vetting of Users. Tooltwist does not verify, vet, background-check, certify, or guarantee the identity, qualifications, skills, experience, character, honesty, solvency, or ability of any User, Collaborator, or Organisation. You may not know the people or organisations behind any Project, and you should make your own enquiries before relying on or dealing with them.
3.4 Signals are not endorsements. Trust Levels (such as "Claimed", "Referenced", and "Proven"), References, testimonials, ratings, reviews, directory placement, featured or "editor's choice" positioning, download counts, adoption counts, and similar signals are derived from, or submitted through, Platform activity. They are provided for information only. They are not endorsements, recommendations, certifications, or guarantees by Tooltwist, and Tooltwist does not warrant their accuracy or that they reflect actual quality or trustworthiness.
3.5 No professional advice. Nothing on the Platform is legal, financial, security, medical, or other professional advice. You are responsible for obtaining your own professional advice where appropriate.
4. The Platform and Software Are Provided "As Is"; No Warranties
4.1 "As is" and "as available." To the maximum extent permitted by law, the Platform, all Software, all User Content, all Runtime Services, and all other services and materials are provided "AS IS" and "AS AVAILABLE", with all faults and without warranty of any kind.
4.2 Disclaimer of warranties. To the maximum extent permitted by law, Tooltwist disclaims all warranties, conditions, representations, and terms of any kind, whether express, implied, statutory, or otherwise, including any implied warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, title, quiet enjoyment, accuracy, and non-infringement, and any warranties arising from a course of dealing, usage, or trade practice.
4.3 No warranty as to results. Without limiting the above, Tooltwist does not warrant that: (a) the Platform or any Software will meet your requirements or be fit for any particular purpose; (b) the Platform or any Software will be uninterrupted, timely, secure, error-free, or free of harmful components; (c) any defects will be corrected; (d) any content is accurate, complete, reliable, current, or lawful; or (e) the Platform or any Software is free of viruses, malware, backdoors, or other harmful code.
4.4 Tooltwist does not vouch. Except where Tooltwist expressly states otherwise in writing for a specific item or service, Tooltwist does not vouch for, assert, warrant, or guarantee the quality, accuracy, security, legality, performance, or fitness of the Platform or any Software or User Content on it.
4.5 Statutory rights. Some jurisdictions do not allow the exclusion of certain warranties or conditions. If such laws apply to you, some or all of the above exclusions may not apply, and you may have additional rights. In that case, the excluded warranties are limited to the minimum extent required by law, and Tooltwist's liability is limited as far as the law allows (see Section 17).
5. Your Responsibility for Evaluation and Use
5.1 You decide suitability. You are solely and entirely responsible for evaluating, testing, and deciding whether the Platform and any Software or other content are appropriate, safe, secure, lawful, and suitable for your purposes before you rely on, download, deploy, distribute, resell, run, or build upon them. Your use is at your own risk.
5.2 Independent verification. You must independently verify the correctness, security, licensing, provenance, and fitness of any Software or content you obtain through the Platform, including AI-generated content, before using it in any environment where errors, security flaws, data loss, downtime, or non-compliance could cause harm.
5.3 Your environment and data. You are responsible for your own systems, environments, configurations, data, and backups, and for testing any Software in a safe, isolated environment before production use. You should not run untrusted Software with access to sensitive data or systems.
5.4 No reliance. You agree that you do not rely, and it is unreasonable to rely, on Tooltwist for the correctness, safety, or suitability of any Software or content, and that you assume all risk arising from your use.
6. Tooltwist as Intermediary; Not a Party to Your Agreements
6.1 Intermediary only. The Platform enables Users to find, connect, collaborate, transact, and contract with one another and with third parties. In doing so, Tooltwist acts solely as an intermediary and venue. Tooltwist is not a broker, agent, partner, joint venturer, employer, or fiduciary of any User.
6.2 Not a party to User arrangements. If you enter into any agreement, licence, contract, engagement, collaboration, purchase, sale, service arrangement, or other legal or commercial relationship with another User, Collaborator, Organisation, or any third party — whether formed on, through, or as a result of the Platform — Tooltwist is not a party to that arrangement and has no obligation or liability under or in connection with it.
6.3 Your dealings are your own. Any terms, licences, warranties, payments, deliverables, support, service levels, confidentiality, and remedies between you and another party are matters solely between you and that party. Tooltwist is not responsible for the performance, non-performance, conduct, or obligations of any User or third party, and does not guarantee that any collaboration, transaction, or engagement will be completed or will be satisfactory.
6.4 Disputes between Users. You are responsible for resolving any dispute you have with another User or third party. Tooltwist has no obligation to mediate, arbitrate, or become involved, and any assistance Tooltwist chooses to provide does not make it a party to the underlying arrangement.
6.5 Where Tooltwist is itself a provider. Tooltwist may, like any other provider, be listed or engaged to supply specific services (for example, hosting or support). Where that happens, Tooltwist acts as a counterparty only for that specific service and only under separate terms expressly agreed in writing for it; that does not change Tooltwist's role as intermediary for everything else.
7. Payments and Fees
7.1 Fees are for the Platform. Any payment, fee, subscription, commission, or other amount that Tooltwist charges or receives in connection with WBSP is consideration for access to, or services provided on or through, the Platform (for example, hosting, deployment, or platform features).
7.2 Not payment for Software. Any such payment is not a purchase price, licence fee, royalty, rent, lease payment, or other consideration for the acquisition, licensing, or use of any Software or other User Content on the Platform. Tooltwist does not sell, licence, lease, or rent the Software that Users publish on the Platform.
7.3 Software transactions are between Users. Any acquisition, licensing, or payment for Software or other User Content is a matter solely between the Users concerned (see Section 6). Where the Platform facilitates or processes such a payment on behalf of a User, Tooltwist does so as a facilitator only and does not thereby become the seller or licensor of the Software.
7.4 Taxes. You are responsible for determining and paying any taxes applicable to your use of the Platform and to any transaction you enter into with another User or third party, other than taxes on Tooltwist's own net income.
7.5 No refunds beyond stated policy. Except as required by law or as expressly stated in a specific service's terms, platform fees are non-refundable.
8. User Content, Repositories, and Images
8.1 You are responsible for your User Content. You are solely responsible for all User Content you submit, push, publish, deploy, or run, and for the consequences of doing so. You represent and warrant that you have all rights, licences, consents, and permissions necessary to do so, and that your User Content does not infringe or violate any third party's rights or any law.
8.2 Ownership. As between you and Tooltwist, you retain whatever ownership rights you have in your User Content. These Terms do not transfer ownership of your User Content to Tooltwist.
8.3 Licence to operate the Platform. You grant Tooltwist a worldwide, non-exclusive, royalty-free licence to host, store, copy, cache, back up, transmit, build, index, display, distribute, and process your User Content, and to make derivative technical copies (such as built images), solely to the extent necessary to operate, provide, secure, maintain, and improve the Platform and to make your User Content available as you have configured (for example, to Collaborators, or publicly). This licence continues for as long as required to provide the Platform and for reasonable backup and legal-retention purposes thereafter.
8.4 Public and shared content. If you make User Content public or share it with other Users, you are responsible for the consequences of that sharing, and you grant the recipients the access you have configured. Tooltwist is not responsible for how other Users use content you have made available to them.
8.5 No obligation to review or retain. Tooltwist has no obligation to monitor, review, verify, store, or retain User Content, and may remove or refuse to store any User Content in accordance with these Terms. You are responsible for keeping your own copies and backups.
8.6 AI-generated User Content. You are responsible for User Content you generate using AI tools, including ensuring you have the right to use it and that it does not infringe third-party rights or violate any law. You acknowledge that other Users' AI-generated User Content is subject to the disclaimers in Sections 3 and 4.
9. Hosting, Storage, Runtime, and Availability
9.1 Passive hosting. Where the Platform stores or hosts User Content — including source code, git repositories, container images, and other artefacts — Tooltwist does so as a neutral, passive host and conduit at the direction of Users. Tooltwist does not author, select, endorse, or control that content and is not responsible for it. To the maximum extent permitted by law, Tooltwist has no liability arising from User Content that it merely stores, hosts, caches, transmits, or makes available.
9.2 Runtime and deployment risk. Running, deploying, previewing, or executing Software carries inherent risk. Software may fail, behave unexpectedly, consume resources, corrupt or lose data, create security vulnerabilities, or interact badly with other systems. You use Runtime Services and run or deploy Software entirely at your own risk, and Tooltwist is not responsible for any outcome of Software being built, deployed, executed, or run on or via the Platform, whether by you or by any other User.
9.3 No security guarantee. Tooltwist implements reasonable measures to operate the Platform, but does not guarantee the security of the Platform, of any hosted repository, image, or artefact, or of any data. You should not upload, store, or run anything whose loss, disclosure, or compromise you cannot tolerate. You are responsible for scanning Software you obtain for vulnerabilities and malicious code before use.
9.4 No backup or data-integrity guarantee. Tooltwist does not guarantee that User Content will be retained, preserved, or recoverable, and may delete or expire content in the ordinary operation of the Platform (for example, image-retention limits). You are responsible for maintaining your own backups. Tooltwist is not liable for any loss, corruption, or unavailability of User Content or data.
9.5 Availability. The Platform may be unavailable, interrupted, degraded, or changed at any time, with or without notice, including for maintenance, upgrades, capacity, or reasons beyond Tooltwist's control. Tooltwist does not guarantee any level of availability, performance, or throughput unless expressly agreed in writing.
10. Acceptable Use
10.1 Prohibited conduct. You must not, and must not permit anyone to, use the Platform to:
(a) upload, publish, distribute, deploy, or run any Software or content that is unlawful, infringing, defamatory, malicious, deceptive, or harmful, or that you do not have the right to provide;
(b) upload or distribute malware, backdoors, ransomware, spyware, or other harmful code, except where clearly labelled and lawfully shared for legitimate security research within a properly authorised and contained context;
(c) infringe or misappropriate any intellectual property, privacy, publicity, confidentiality, or other rights of any person;
(d) violate any applicable law or regulation, including export-control, sanctions, data-protection, and anti-fraud laws;
(e) gain unauthorised access to, disrupt, overload, or attack the Platform, its infrastructure, or any other User's systems or content, or circumvent any access control, permission, rate limit, or security measure;
(f) misrepresent your identity, affiliation, qualifications, trust level, or the origin, ownership, or nature of any content;
(g) harvest or scrape data, or use the Platform, in a manner that violates these Terms or others' rights; or
(h) use the Platform to facilitate any illegal, harmful, or high-risk activity.
10.2 High-risk uses. The Platform and the Software on it are not designed or intended for use in environments requiring fail-safe performance or where failure could lead to death, personal injury, or severe physical, environmental, or financial harm (such as life support, medical devices, aircraft, nuclear facilities, or critical infrastructure). You must not use them for such purposes, and you assume all risk if you do.
10.3 Enforcement. Tooltwist may investigate suspected violations and take any action it considers appropriate, including removing content and suspending or terminating access (see Section 15). Tooltwist is not obliged to monitor use but may do so.
11. Intellectual Property and Infringement
11.1 Tooltwist's rights. The Platform itself (excluding User Content and Third-Party Materials), including its software, design, and trademarks, is owned by Tooltwist or its licensors and is protected by law. These Terms grant you only a limited, revocable, non-exclusive, non-transferable right to use the Platform in accordance with these Terms.
11.2 User Content rights. Rights in User Content remain as between the Users concerned and their licensors, subject to the licence in Section 8.3. Any licence you obtain to use another User's Software is granted by that User (or its licensor), not by Tooltwist.
11.3 Infringement claims and takedown. Tooltwist respects intellectual property rights and will respond to properly substantiated claims of infringement or other unlawful content. If you believe content on the Platform infringes your rights or is otherwise unlawful, notify Tooltwist with sufficient detail to identify the content and your claim (see Section 24). Tooltwist may remove or disable access to content it believes may be infringing or unlawful, and may terminate the accounts of repeat infringers, without thereby assuming any liability.
11.4 No liability for User Content infringement. To the maximum extent permitted by law, Tooltwist is not liable for any infringement, misappropriation, or other violation of rights arising from User Content or Software provided by Users. Responsibility for such content rests with the User who provided it.
12. Third-Party Services and Software
12.1 The Platform relies on and interoperates with Third-Party Materials (for example, underlying git servers, cloud infrastructure, container stores, and authentication services). Your use of Third-Party Materials may be subject to their own terms, and Tooltwist is not responsible for them.
12.2 Software on the Platform may incorporate open-source or other third-party components subject to their own licences. You are responsible for identifying and complying with those licences when you use, modify, or distribute such Software.
13. Export Control, Sanctions, and Legal Compliance
13.1 Software and technical data may be subject to export-control and sanctions laws of one or more jurisdictions. You are responsible for complying with all such laws in respect of any Software or content you upload, download, access, deploy, run, or distribute.
13.2 You represent that you are not located in, and are not a national of or ordinarily resident in, any country or on any list that would make your use of the Platform unlawful, and that you will not use the Platform in violation of any export-control or sanctions law.
14. Privacy and Data
14.1 Tooltwist processes personal data in accordance with its privacy notice (as published from time to time). By using the Platform you consent to that processing.
14.2 You are responsible for the lawfulness of any personal data or other regulated data you place on, or process using, the Platform, and for obtaining any consents and providing any notices required for you to do so. Tooltwist is not responsible for your compliance with data-protection laws in respect of your User Content.
15. Suspension, Moderation, and Termination
15.1 By Tooltwist. Tooltwist may, at its discretion and with or without notice, suspend, restrict, moderate, remove, or terminate any account, Directory Listing, Organisation, Project, Variant, repository, image, reference, or other content or access — in whole or in part — where Tooltwist reasonably believes it is necessary or appropriate, including for breach of these Terms, harmful or unlawful conduct or content, risk to the Platform or others, non-payment, or as required by law. Moderation may be reactive; Tooltwist is not obliged to monitor proactively.
15.2 By you. You may stop using the Platform at any time and, where the Platform provides the means, close your account.
15.3 Effect of termination. On termination or suspension, your right to use the affected part of the Platform ceases. Tooltwist may retain, delete, or make inaccessible your User Content in accordance with these Terms and applicable law, and is not liable for doing so. Sections that by their nature should survive termination (including Sections 3–9, 11, 15.3, 16–18, and 22–23) survive.
16. Assumption of Risk
You acknowledge and agree that your access to and use of the Platform, and any Software or content on it, is at your own risk, and that you assume full responsibility for any loss or damage arising from that use, to the maximum extent permitted by law.
17. Limitation of Liability
17.1 Exclusion of certain damages. To the maximum extent permitted by law, in no event will Tooltwist, its affiliates, or their respective directors, officers, employees, agents, contractors, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business, opportunity, anticipated savings, or for any loss, corruption, or unavailability of data, in each case arising out of or in connection with these Terms, the Platform, any Software or content, or any User arrangement, whether based on contract, tort (including negligence), statute, or any other legal theory, and whether or not Tooltwist has been advised of the possibility of such damages.
17.2 Cap on liability. To the maximum extent permitted by law, the total aggregate liability of Tooltwist and its affiliates arising out of or in connection with these Terms and your use of the Platform will not exceed the greater of (a) the total fees you actually paid to Tooltwist for the Platform in the three (3) months immediately before the event giving rise to the liability, or (b) one hundred Singapore dollars (SGD 100).
17.3 Matters excluded from liability. Without limiting the above, and to the maximum extent permitted by law, Tooltwist has no liability arising from: (a) any Software or User Content, including its accuracy, quality, security, legality, or fitness; (b) AI-generated content; (c) the acts, omissions, conduct, or content of any User or third party; (d) any agreement or dispute between you and any other User or third party; (e) your reliance on any trust level, reference, rating, or other signal; (f) the deployment, execution, or running of any Software; (g) loss of, or unauthorised access to, any data or content; or (h) unavailability of the Platform.
17.4 Basis of the bargain. You acknowledge that the disclaimers and limitations in these Terms reflect a reasonable allocation of risk and are an essential basis of the bargain between you and Tooltwist, and that Tooltwist would not provide the Platform without them. These limitations apply even if a limited remedy fails of its essential purpose.
17.5 Statutory limits. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited. Where liability cannot be excluded but can be limited, it is limited to the minimum extent permitted by law.
18. Indemnification
18.1 To the maximum extent permitted by law, you will indemnify, defend, and hold harmless Tooltwist, its affiliates, and their respective directors, officers, employees, agents, contractors, and licensors from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your User Content or Software; (b) your use of the Platform; (c) your breach of these Terms or of any applicable law; (d) your infringement or violation of any third party's rights; (e) any agreement, transaction, or dispute between you and any other User or third party; or (f) any Software you deploy, run, or distribute.
18.2 Tooltwist may, at its option, assume the exclusive defence and control of any matter subject to indemnification by you, and you will cooperate with Tooltwist in asserting any available defences.
19. Beta and Experimental Features
Parts of the Platform, and much of the Software on it, are experimental, in development, or provided on a beta or preview basis. Such features may be incomplete, unstable, or withdrawn at any time, and are provided with an even greater degree of "as is" risk. Tooltwist has no liability in respect of beta or experimental features or Software.
20. Feedback
If you provide Tooltwist with suggestions, ideas, or other feedback about the Platform, you grant Tooltwist a perpetual, irrevocable, worldwide, royalty-free licence to use it for any purpose without obligation or compensation to you.
21. Changes to the Platform and to these Terms
21.1 Platform. Tooltwist may add, change, suspend, or discontinue any part of the Platform at any time.
21.2 Terms. Tooltwist may update these Terms from time to time. The updated Terms take effect when posted or on any later date stated, and Tooltwist may require you to re-accept them. Your continued use of the Platform after the updated Terms take effect constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Platform. Each version is identified by version number and effective date; this is Version 1.0.
22. Governing Law and Dispute Resolution
22.1 Governing law. These Terms, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict-of-laws rules.
22.2 Jurisdiction. Subject to Section 22.3, you and Tooltwist submit to the exclusive jurisdiction of the courts of the Republic of Singapore.
22.3 Arbitration (optional). Tooltwist may, at its option, require that any dispute be finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules, with the seat in Singapore and proceedings in English. (This clause should be confirmed by counsel and may be adjusted or removed depending on Tooltwist's preferred dispute-resolution strategy.)
23. General
23.1 Entire agreement. These Terms (together with any policies and any separate terms expressly agreed for specific services) are the entire agreement between you and Tooltwist regarding the Platform and supersede all prior understandings on that subject.
23.2 Severability. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or if it cannot be, severed, and the remaining provisions remain in effect.
23.3 No waiver. A failure or delay by Tooltwist to enforce any provision is not a waiver of it.
23.4 Assignment. You may not assign or transfer these Terms without Tooltwist's prior written consent. Tooltwist may assign these Terms, including in connection with a merger, acquisition, or sale of assets.
23.5 No third-party beneficiaries. Except for Tooltwist's affiliates and the indemnified parties named in Section 18, a person who is not a party to these Terms has no right to enforce them, including under the Contracts (Rights of Third Parties) Act of Singapore.
23.6 Relationship. Nothing in these Terms creates any partnership, joint venture, agency, employment, or fiduciary relationship between you and Tooltwist.
23.7 Force majeure. Tooltwist is not liable for any failure or delay caused by events beyond its reasonable control, including acts of God, outages, cyber-attacks, failures of Third-Party Materials, or governmental action.
23.8 Notices. Tooltwist may give notices through the Platform, by email, or by posting. You may give notices to Tooltwist using the contact details in Section 24.
23.9 Language. These Terms are in English, which controls over any translation.
24. Contact
Questions, infringement or unlawful-content notices, and other communications about these Terms may be sent to Tooltwist Pte Ltd via the contact channel published on wbsp.ai. (Insert Tooltwist's registered address, company registration number, and a monitored contact email or notice address before publication.)
25. How you accept
By clicking "I agree" (or the equivalent), or by accessing or using any part of the Platform, you confirm that you have read, understood, and agree to be bound by these Terms, including the "as is" disclaimers (Section 4), the limitation of liability (Section 17), and the indemnity (Section 18). If you do not agree, you must not use the Platform.
End of WBSP Terms of Service, Version 1.0.
